Colonix® Affiliate Program Terms and Conditions
These terms and conditions ("Agreement") govern your participation in the Colonix® Affiliate Program ("Program"). By joining the Program, you agree to comply with the terms outlined below. Please read them carefully.
1. Enrollment and Eligibility
1.1. To enroll in the Program, you must complete and submit the Affiliate Enquiry Form. Approval is at the sole discretion of Caliceutical Ltd, the owner of the Colonix® brand.
1.2. Participation is open to individuals and businesses that promote Colonix® products ethically and legally.
1.3. Affiliates must be at least 18 years old to participate.
2. Affiliate Responsibilities
2.1. You will be provided with a unique affiliate link to track sales generated through your promotions.
2.2. Affiliates are responsible for ensuring their promotional activities comply with all applicable laws, regulations, and this Agreement.
2.3. Affiliates must not engage in spam, misleading advertising, or any unethical marketing practices.
2.4. Affiliates must not make medical claims or guarantees about Colonix® products beyond what is provided in official marketing materials.
3. Commissions and Payments
3.1. Affiliates earn a commission for each qualifying sale made through their unique affiliate link. The commission rate will be communicated upon acceptance into the Program.
3.2. Commissions are calculated based on the net sale price, excluding taxes, shipping, and discounts.
3.3. Payments are made monthly, on or before the 15th of the following month. For example, commissions earned in January will be paid by February 15th.
3.4. The minimum payout threshold is [insert amount]. If your commission total is below this amount, it will roll over to the next month.
3.5. Payments will be made via the method selected during enrollment (e.g., bank transfer, PayPal). Affiliates are responsible for providing accurate payment details.
4. Program Restrictions
4.1. Affiliates may not:
- Use false or misleading statements in promotions.
- Bid on branded keywords such as “Colonix® ” or “Caliceutical Ltd” in pay-per-click advertising.
- Misrepresent their relationship with Colonix® or Caliceutical Ltd.
4.2. Affiliates must not engage in activities that harm the Colonix® brand, reputation, or intellectual property.
5. Termination
5.1. Either party may terminate this Agreement at any time, with or without cause, by providing written notice.
5.2. Caliceutical Ltd reserves the right to terminate affiliates who violate this Agreement, engage in unethical practices, or fail to generate sales over a sustained period.
5.3. Upon termination, affiliates will no longer have access to their affiliate link, and commissions on pending sales will not be paid.
6. Intellectual Property
6.1. Affiliates are granted a non-exclusive, revocable license to use Colonix® branding, logos, and marketing materials solely for promotional purposes within the scope of the Program.
6.2. Affiliates must not modify, copy, or use Colonix® intellectual property for any purpose outside of the Program.
7. Liability and Indemnification
7.1. Caliceutical Ltd is not liable for any indirect, incidental, or consequential damages arising from your participation in the Program.
7.2. Affiliates agree to indemnify and hold harmless Caliceutical Ltd from any claims, damages, or expenses arising from their promotional activities.
8. Modifications to the Program
8.1. Caliceutical Ltd reserves the right to modify or terminate the Program, including commission rates and terms, at any time. Affiliates will be notified of any changes.
8.2. Continued participation in the Program after changes are made constitutes acceptance of the revised terms.
9. Governing Law
9.1. This Agreement is governed by the laws of the United Kingdom.
9.2. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts in the United Kingdom.
